1. Acceptance of Terms By engaging Still Mind Marketing ("we," "us," or "Agency"), you ("Client") agree to the following Terms and Conditions. These terms constitute a legally binding agreement between you and Still Mind Marketing.
2. Scope of Services Still Mind Marketing will provide marketing services as agreed upon in the proposal or contract. Services may include, but are not limited to, social media management, content creation, advertising campaigns, branding strategies, SEO, and website development.
3. Payment and Billing Payments for services must be made according to the schedule outlined in the proposal or invoice. Late payments may incur additional fees. All payments are non-refundable once work has commenced.
4. Client Responsibilities Client must promptly provide any necessary information, feedback, and content needed for Agency to perform its duties effectively. Delays or inaccuracies by the Client may impact project timelines and outcomes.
5. Ownership and Usage Rights Upon full payment, the Client will have ownership of deliverables created specifically for them. Agency retains the right to display completed projects within portfolios and promotional materials unless specifically agreed otherwise in writing.
6. Confidentiality Both parties agree to keep all sensitive and proprietary information shared during the engagement confidential. This includes business strategies, financial data, and other non-public information.
7. Termination Either party may terminate services by providing 30 days written notice. Upon termination, Client agrees to pay for all services rendered up to the termination date.
8. Liability Still Mind Marketing will perform services professionally and diligently. However, the Agency shall not be liable for any indirect, consequential, or incidental damages arising from the use of marketing services provided.
9. Indemnification Client agrees to indemnify and hold harmless Still Mind Marketing from any claims, liabilities, or expenses arising from Client's misuse or misrepresentation of content and materials created by the Agency.
10. Amendments Still Mind Marketing reserves the right to amend these Terms and Conditions at any time. Clients will be notified in writing of any significant changes.
11. Governing Law These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the state of Florida.
12. Dispute Resolution Both parties agree to attempt amicable resolution of any disputes through direct negotiation. Should this fail, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association.
13. Entire Agreement These Terms and Conditions, along with any signed proposals or contracts, constitute the entire agreement between Still Mind Marketing and the Client and supersede all prior communications and agreements.
